With respect to commercial and operational matters, we advise on the construction, leasing/chartering, management, operation and sale/purchase of ships, rigs and other structures for use in the relevant businesses. Our expertise spans the life cycle of these assets, whether newbuilding, conversion or existing unit being modified and upgraded. The combination of marine and construction experience makes this a highly specialist area, particularly when the cost of the asset will be funded by external financing that depends upon the revenue stream from its employment as security. We specialise in particular in FPSO leasing and other complex vessel leasing and financing structures. Our team members have advised on projects in the North Sea, Brazil, South East Asia, West Africa and numerous other locations.
In corporate matters, we are known for assisting sellers, buyers and investment banks in complex, and often cross-border, transactions. We provide tailor-made legal and strategic advice, often acting in concert with our client’s internal teams as well as other advisers on the project. Our team members have a strong track record in complex restructurings within the oilfield services sector.
While much of our work concerns exploration, drilling and production facilities, our expertise extends to contracts for the construction and charter of all types of accommodation, installation and support vessels and for the provision of oilfield services generally. Our team members also have a particular track record for technology driven projects and services.
Based on significant in-house experience, our advice extends to contract strategy and commercial advice, beyond the legal and documentary aspects of the relevant contracts; and we often lead and project manage negotiations on behalf of our clients, where requested to do so, liaising with our client’s asset and functional teams (finance, technical, etc).
